Cellcom Israel Ltd., established in 1994, is the leading Israeli cellular provider. Cellcom Israel provides its approximately 3.349 million subscribers (as at December 31, 2011) with a broad range of value added services including cellular and landline telephony, roaming services for tourists in Israel and for its subscribers abroad and additional services in the areas of music, video, mobile office etc., based on Cellcom Israel's technologically advanced infrastructure.
  The Company operates an HSPA 3.5 Generation network enabling advanced high speed broadband multimedia services, in addition to GSM/GPRS/EDGE networks.
  Cellcom Israel offers Israel's broadest and largest customer service infrastructure including telephone customer service centers, retail stores, and service and sale centers, distributed nationwide. Through its broad customer service network Cellcom Israel offers technical support, account information, direct to the door parcel delivery services, internet and fax services, dedicated centers for the hearing impaired, etc.
  In August 2011, Cellcom Israel completed the acquisition of Netvision Ltd. its whose wholly owned subsidiary, 013 Netvision Ltd., is a leading Israeli provider of internet connectivity services and international calling services.
  Cellcom Israel, through its wholly owned subsidiaries, also provides landline telephone communication services in Israel, in addition to data communication services.
  Cellcom Israel's shares are traded both on the New York Stock Exchange (CEL) and the Tel Aviv Stock Exchange (CEL).

Dividend Policy
In February 2006, the Company's board of directors adopted a dividend policy to distribute each year at least 75% of the Company's annual net income determined (in accordance with IFRS for periods commencing on or after January 1, 2008), subject to applicable law, the Company's license and the Company's contractual obligations and provided that such distribution would not be detrimental to the Company's cash needs or to any plans approved by the Company's Board of Directors. In March 2007, the Company's Board of Directors resolved to distribute dividends within the boundaries of the February 2006 dividend policy and until resolved otherwise, on a quarterly basis. Dividend payments are not guaranteed and the Company's Board of Directors may decide, in its absolute discretion, at any time and for any reason, not to pay dividends or to pay dividends at a ratio to net income that is less than that paid in the past.

Cellcom Israel’s principal service is cellular telephony. In addition, the company offers many other services with enhancements and additional features to our basic cellular telephony service. These services and features include caller identification, voice mail, cellular fax, call waiting, call forwarding, conference calling, “Talk 2” (two handsets sharing the same number), Cellcom Copy (enabling backup of information kept on the handset such as contacts, SMS, and media files), additional number service (enabling subscribers to add a second phone number to their handset) and collect call service (a self developed service protected by a US and Israeli patent).

Cellcom Israel, through its wholly owned subsidiary, Cellcom Fixed Line Communications L.P., offers transmission services and data communication to business clients and communication providers, as well as landline telephony services to business customers.

Cellcom Israel offers subscribers a variety of channels to facilitate their access to data services, including handsets (in supporting models), cellular modems, laptops, tablets and cellular routers.

  Handsets
Cellcom Israel sells a wide variety of handsets designed to meet individual preferences. The company offers a variety of handsets from leading brands such as Apple, LG, Motorola, Nokia, Samsung, Sony-Ericsson and RIM. Handset models sold offer Hebrew language displays in addition to English, Arabic and Russian (in most of the models). Cellcom Israel offers an extended handset warranty as well as repair and replacement services for most handsets, in approximately 80 locations.
