  Perion Network Ltd. (NASDAQ:PERI), formerly IncrediMail Ltd., is a digital media company that builds, acquires and enhances downloadable consumer applications. The company's award winning email client product, IncrediMail Premium, is distributed in over 100 countries in 10 different languages. Other products include HiYo, a graphic add-on to instant messaging software; Magentic, a wallpaper and screensaver software; PhotoJoy, an application for presenting digital personal photos on your desktop; and Smilebox, an application allowing users to quickly and easily create slideshows, invitations, greetings, collages, scrapbooks and photo albums right on the computer.
  In August 2011, Perion acquired Smilebox Inc., a US consumer focused photo sharing and social expression company. The acquisition adds another major product to the company's portfolio, significantly diversifying its revenue mix.
  In May 2011, the company announced that it has integrated Facebook into its email product offering customers access to Facebook right from their desktop. This is the first step in evolving Perion into a multi-purpose communications product.
  The company derives revenue from two revenue streams — advertising and subscriptions. Our advertising is predominantly search-based, generated by use of our free products, while our subscription revenue is generated through our premium product offering.
  In 2010, the company recorded revenues of $29.5 million, adjusted EBITDA of $13.4 million, and net income of $8.4 million, or $0.85 per share.  
  Our future success will continue to be largely driven by focusing on consumer needs. By putting the consumer in the epicenter of all we do, we are assured that our products will be loved and used.
  Our model is very concise. We create easy to use products that serve consumer needs and monetize these products through a combination of advertising and subscription revenues.
  This coming year, our focus will be on increasing our product pipeline and further improving our existing suite of products.

Josef MandelbaumJosef Mandelbaum became IncrediMail's CEO in August 2010. Previously, he served as CEO of American Greetings Intellectual Properties since 2005 and as CEO of American Greetings Interactive since January 2000. At AG, Josef grew the company from six employees and with virtually no revenue to over 350 employees with $120 million in revenues, and has been responsible for many acquisitions including: BlueMountain.com, Egreetings.com, KMobile and Webshots, among others. Josef is a true Internet veteran and is a frequent speaker at many Internet, mobile and entertainment conferences. Josef graduated from Yeshiva University with a B.A. in economics, and holds an MBA in marketing from Case Western Reserve University, Weatherhead School of Management.

CFO: Yacov Kaufman
Yacov  KaufmanYacov Kaufman joined us as Chief Financial Officer in December 2005. From 1996 to November 2005, Mr. Kaufman was the Chief Financial Officer of Data Systems & Software Inc., currently Accorn Energy Inc. (NASDAQ: ACFN), which via its subsidiaries, provides software consulting and development services and serves as an authorized dealer and a value-added-reseller of computer hardware. At Data Systems, Mr. Kaufman established and subsequently managed the accounting and financial departments of the company and its subsidiaries. His responsibilities included financial analysis and implementation of procedures for internal control over financial reporting. From 1993 to 1999, Mr. Kaufman served as a director of Tower Semiconductor Ltd. (Nasdaq: TSEM), an integrated circuits manufacturer and then subsidiary of Data Systems & Software Inc. Mr. Kaufman is an Israeli CPA, has a B.A. in accounting and economics from the Hebrew University of Jerusalem and an M.B.A. from Bar Ilan University.

Chairperson: Tamar Gottlieb
Tamar Gottlieb has served as our director since 2001 and is Chairperson of the Board of Directors since March 2006. She is a Managing Director at Harvest Capital Markets Ltd., an investment banking and financial consulting firm that she founded in January 2001. Prior to 2001, Ms. Gottlieb held managing director or senior manager positions in several investment banks, including Investec Clali - Management & Underwriting Ltd. (from 1997 to 2001), Oscar Gruss (1996) Ltd. (from 1996 to 1997) and Leumi & Co. Investment Bankers Ltd. (from 1980 to 1991). From 1991 to 1994, Ms. Gottlieb served as the Founding Managing Director of Maalot - The Israeli Securities Rating Company Ltd., Israel's first credit rating agency. She currently serves as a board member for several Israeli public and private companies, including Emilia Development Ltd., Carmel Investments Group, Maalot the Israeli Securities Rating Company Ltd., Hasin-Esh Ltd., N.R. Spuntech Industries Ltd., T.R.A Radio Tel Aviv Ltd. and Credit Information Association Ltd. In the past she has also served as a director of, among others, El Al Israeli Airlines Ltd. and "Dan" the Company for Public Transport Ltd. Ms. Gottlieb's public service activities include serving as a member of the Statutory Committee for the approval of Directors and General Managers of Israeli Government Companies and Statutory Authority and as a member of the Advisory Committee to the Israeli Anti-Trust Authority. Ms. Gottlieb has a B.A. in International Relations from the Hebrew University in Jerusalem and an M.A. in Economics from Indiana University.

Arik Czerniak
Arik Czerniak was elected director in December 2009. Arik is a veteran Internet entrepreneur and a founder of several consumer focused Internet startups. He was the founder and CEO of Metacafe Inc., the world’s largest privately held video site, with 50 million monthly visitors, for four years. Before becoming an entrepreneur, Arik spent 10 years in the Israeli Air Force - first studying for a BA in mathematics, physics and computer sciences at the Talpiot R&D officers project, and later serving as a fighter pilot. Arik also holds an MBA in finance and banking.
David Jutkowitz
David Jutkowitz was elected to serve as an external director in 2007. David Jutkowitz serves as a director of Arad Investment and Industrial Development since 2006. From 2001 until 2007, Mr. Jutkowitz served as an external director of Carmel Investment Group Ltd., and was a member of the audit, investment and portfolio committees of Carmel Investment Group Ltd. Between 2000 and 2003, Mr. Jutkowitz held the position of CEO at BXS Ltd., where his responsibilities included managing all stages in development of the business, including the raising of funds from investors, and building local and international distribution. From 1995 until 2002, Mr. Jutkowitz was CEO at E.L. Advanced Science Ltd., where his responsibilities included identifying and acquiring appropriate companies and taking an active part in the management of such companies. From 1976 to 2001, Mr. Jutkowitz held the position of CFO at Etz Lavud Ltd.
Avichay Nissenbaum
Avichay Nissenbaum has over 20 years of experience in the software industry, in conjunction with leadership positions in management, sales, business development, marketing, and operations. He is the CEO and co-founder of Yedda.com, an AOL company, and Vice President at AOL. Prior to Yedda, Inc. Nissenbaum co-founded SmarTeam, a market leader in the PLM (Product Lifecycle Management) domain. SmarTeam was subsequently acquired by Dassault Systemes. In addition to his position on IncrediMail’s Board of Directors, Nissenbaum serves as a board member for Winbuyer Ltd., and advises and helps several startups and entrepreneurs. Avichay has a B.S in Computer Science and a B.A in Economics.
Arik Ramot.
Arik Ramot was elected as a director in 2008. Mr. Ramot is the founder and has been the CEO of Ramot & Co, Investment House since 1996. From 1988 to 1996, Mr. Ramot served as legal advisor and manager at Kaszierer International, working in more than 20 countries. Prior to that, Mr. Ramot practiced law in Israel. Mr. Ramot is also the founder of an Israeli Internet Company (www.hayoman.co.il). Mr. Ramot holds LLB and LLM degrees from Tel Aviv University.
