USE OF THE STANDARD & POOR'S DATABASE OF ISRAELI PUBLIC COMPANIES & FINANCIAL INSTITUTIONS CONSTITUTES THE USER'S ACKNOWLEDGMENT AND ACCEPTANCE OF THESE TERMS AND CONDITIONS
Standard & Poor's Database of Israeli Public Companies & Financial Institutions on the World Wide Web (the "Database") is the property of M.G.M. International Publications, Ltd. ("IPL") located at 26 Zarchin St., Rakefet Bldg., Ra'anana 43662 Israel. "Standard & Poor's" and "S&P" are trademarks of The McGraw-Hill Companies, Inc. and have been licensed for use by M.G.M. International Publications, Ltd. Standard & Poor's ("S&P") is a division of The McGraw-Hill Companies, Inc.
All use of the Database is subject to the terms and conditions set forth below. Any use of such Web pages constitutes the user's agreement to abide by the following terms and conditions.
The Database may be used solely and exclusively for the internal purpose of the User and its employees and access is to be limited to persons carrying out these purposes. The User may, in the ordinary course of business, distribute information, reports or other publications which utilize or display limited excerpts from the Database without prior written consent of IPL. Except as expressly provided in this paragraph, however, the User may not, and may not permit others, to make copies of the Database or any portion thereof nor may the User redistribute, lend, lease or rent the Database to any third party. The User may not, and may not permit others, to copy, extract, summarize, distribute or otherwise use the Database or any portion in any manner which competes with or substitutes for IPL's distribution of the Database to its own users. Moreover, the User may not, and may not permit others, to use the Database to compile mailing lists, marketing aids, or other data compilations to be sold, lent, leased, rented or distributed to any third party.
Except for making one hard copy print of limited portions of the Database on an ad hoc basis, or downloading as expressly authorized by IPL, the Database may not be reproduced, transmitted or distributed without IPL permission. IPL makes no guarantees or warranties as to the accuracy or completeness of or results to be obtained from accessing and using the Database. Neither IPL nor S&P or any affiliate thereof shall be liable to any user or anyone else for any inaccuracy, error or omission, regardless of cause, in the Database or for any damages resulting therefrom. Users entering materials on any of these Web pages are responsible for the content of that material. IPL has no responsibility for the content of any messages or information posted by users, or for the content of information of third-parties on the Internet, even if accessed through IPL pages. However, IPL retains the right, which it may or may not exercise, in its sole discretion, to review, edit or delete from the service any third-party material which IPL deems to be illegal, offensive or otherwise inappropriate. Users may through hypertext or other computer "links" gain access to other sites on the Internet which are not part of IPL Web pages. IPL assumes no responsibility for any material outside of IPL Web pages which may be accessed through any such "link."
The user agrees to indemnify IPL from any damages, losses, costs or expenses which IPL, its affiliates, their respective employees and authorized representatives may incur as a result of material entered into these Web pages by the user.
The User expressly acknowledges that the Database constitutes commercially valuable property and copyrighted product of IPL, the contents of which were selected, coordinated and arranged by IPL through the applications of substantial time, money and creativity. The User agrees to respect the copyright and other proprietary rights of IPL in the Database and the trademarks of S&P described above and to limit the use of and access to the Database to those uses expressly permitted hereunder.
IPL represents and warrants that it has all necessary licenses and approvals to provide the Database to the user as contemplated by these User Terms and Conditions. Except as set forth in the preceding sentence, NEITHER IPL NOR S&P OR ANY AFFILIATE THEREOF MAKES ANY WARRANTIES, EXPRESSED OR IMPLIED, AS TO THE RESULTS TO BE OBTAINED BY USER FROM USE OF THE DATABASE, INCLUDING ANY EXPRESSED OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE. REFERENCE TO A PARTICULAR COMPANY IN THE DATABASE DOES NOT CONSTITUTE AN APPRAISAL AS TO THE FINANCIAL CONDITION OF THAT COMPANY OR ANY ASPECT OF THE COMPANY'S SERVICE OR OPERATION. BECAUSE OF THE POSSIBILITY OF HUMAN OR MECHANICAL ERROR BY IPL, IPL'S SOURCES OR OTHERS, NEITHER IPL NOR S&P OR ANY AFFILIATE THEREOF GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED IN THE DATABASE AND NEITHER IPL NOR S&P OR ANY AFFILIATE THEREOF SHALL BE LIABLE FOR ANY ERRORS OR OMISSIONS THEREIN.
NEITHER IPL NOR S&P OR ANY AFFILIATE THEREOF SHALL BE LIABLE FOR ANY LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES OR CLAIMS INCURRED BY USER ARISING OUT OF USE OF THE DATABASE EVEN IF ADVISED OF THE POSSIBILITY OF SAME. IN NO EVENT SHALL THE CUMULATIVE LIABILITY OF IPL, S&P, OR ANY AFFILIATE THEREOF FOR DAMAGES, REGARDLESS OF THE FORM OF THE ACTION, EXCEED THE TOTAL FEES PAID FOR THE CURRENT VERSION OF THE DATABASE AND NO ACTION, REGARDLESS OF FORM, ARISING FROM OR PERTAINING TO THE DATABASE MAY BE BROUGHT MORE THAN ONE (1) YEAR AFTER SUCH ACTION HAS OCCURRED.
